Terms of Service
Last updated: March 2026 · Governing law: Republic of Lebanon & applicable Gulf jurisdiction
These Terms of Service ("Terms") govern the relationship between Vantyk ("Service Provider") and any client or organisation ("Client") that engages Vantyk for IT services. By entering into a service agreement with Vantyk, the Client agrees to be bound by these Terms.
1. Scope of Services
Vantyk provides managed IT services, networking infrastructure, cloud solutions, cybersecurity, application delivery, video management systems, and backup and disaster recovery services. The specific services provided to each Client are defined in a separate Service Agreement or Statement of Work (SOW) executed between the parties. These Terms apply to all such agreements and are incorporated by reference.
2. Service Obligations
Vantyk shall deliver services with professional care and in accordance with industry best practices. We shall assign qualified, certified personnel to all client engagements. Service levels, response times, and availability commitments are defined in the applicable SLA Agreement. We reserve the right to engage qualified subcontractors where necessary, while remaining fully responsible for service quality.
3. Client Obligations
The Client shall provide Vantyk with timely access to systems, premises, credentials, and information reasonably required to deliver services. The Client is responsible for maintaining valid software licences for all third-party applications in their environment. The Client shall designate a primary point of contact for service coordination and shall respond to information requests within a reasonable timeframe to avoid service delays.
4. Fees & Payment
Service fees are as agreed in the Client's Service Agreement. Invoices are issued monthly in advance for recurring managed services and upon milestone completion for project-based engagements. Payment is due within thirty (30) days of invoice date. Late payments are subject to a late fee of 1.5% per month on outstanding balances. All fees are quoted exclusive of VAT or applicable taxes, which shall be applied in accordance with the laws of the jurisdiction in which services are delivered.
5. Intellectual Property
All intellectual property, tools, methodologies, scripts, and documentation developed by Vantyk prior to or independently of the Client engagement remain the exclusive property of Vantyk. Deliverables specifically created for the Client under a project engagement become the property of the Client upon full payment. Vantyk retains the right to use general methodologies and non-confidential knowledge gained during engagements.
6. Confidentiality
Both parties agree to keep confidential all proprietary information disclosed during the service relationship. Vantyk will not disclose Client data, infrastructure details, or business information to any third party without prior written consent, except where required by applicable law. This obligation survives termination of the service agreement for a period of five (5) years.
7. Limitation of Liability
Vantyk's total liability to the Client for any claim arising from the provision of services shall not exceed the total fees paid by the Client in the three (3) months preceding the event giving rise to the claim. Vantyk shall not be liable for indirect, consequential, or incidental damages, loss of data, loss of business, or loss of profits. These limitations do not apply in cases of gross negligence or wilful misconduct.
8. Termination
Either party may terminate a service agreement with thirty (30) days' written notice. Vantyk may suspend or terminate services immediately in the event of non-payment exceeding sixty (60) days, material breach of these Terms, or circumstances that prevent safe or legal delivery of services. Upon termination, Vantyk will assist with a reasonable transition period at the Client's request, billable at standard rates.
9. Governing Law & Dispute Resolution
These Terms are governed by the laws of the Republic of Lebanon for engagements based in Lebanon. For engagements in Gulf Cooperation Council (GCC) countries, the laws of the applicable jurisdiction apply. In the event of a dispute, the parties agree to first attempt resolution through good-faith negotiation. If unresolved within thirty (30) days, disputes shall be referred to the competent courts of the governing jurisdiction.
